NOTICE is given under Section 3 of the Transfer of Businesses Act (Chapter 500 of the Laws of Kenya) that — (a) Telkom Kenya Limited (Reg. No. C. 3/2009), of P.0, Box 30301-00100, Telkom Plaza, Ralph Bunche Road, Nairobi, Kenya ("the Proposed Transferor") proposes to transfer (subject to the fulfilment of certain conditions precedent) its (b) mobile operations, enterprise and carrier business ("Transfer Business") carried on at Telkom Plaza, Ralph Bunche Road, Nairobi and elsewhere in the Republic of Kenya including all assets, other than identified excluded assets, related to the Transfer Business, to (c) Airtel Networks Kenya Limited (Reg. No. C. 140223), of Parkside Towers L.R. Number 209/11880, Mombasa Road, P.O. Box 73146-00200, Nairobi, Kenya ("the Proposed Transferee") who intends to carry on the Transfer Business at (d) Parkside Towers L.R. Number 209/11880, Mombasa Road, Nairobi and elsewhere in the Republic of Kenya. (e) the Proposed Transferee is not assuming nor does it intend to assume all the liabilities incurred in the Transfer Business by the Proposed Transferor. For purposes of information only, it is disclosed that upon completion of the proposed transaction provided that the proposed transaction is completed, the Proposed Transferor will acquire a shareholding in the Proposed Transferee. After completion of the proposed transaction, the Proposed Transferee will be renamed to reflect the joint venture of the parties.
