NOTICE is given under section 3 of the Business Transfer Act, that Kenya Grip Company Limited and Sparks Lighting Limited (―the transferors‖) have with effect from the business day of 3rd May, 2011, (―the transfer date‖) transferred their entire business (―the transfer businesses‖) as carried out by them up to the transfer date to Kenya Grip and Sparks Lighting Limited (―the transferee‖) a limited liability company incorporated in Kenya under certificate No. CPR/2011/46866. The registered office and business address of the transferor are L.R. No. 194T33, Jamhuri Park, Jamhuri Road, P.O. Box 54172- 00200, Nairobi and L.R. No. 194T34, Jamhuri Park, Jamhuri Road, P.O. Box 41746–00100, Nairobi, respectively. The registered office and business address of the transferee is L.R. No. A.28, Jamhuri Park, Jamhuri Road, P.O. Box 54172–00200, Nairobi. The transferee has from the transfer date assumed all the debts or liabilities of the transfers, properly incurred in the conduct of their businesses, up to and including the transfer date and the same will be paid and discharged by the transferee and likewise all debts and liabilities owing and due to the transferors, up to and including the transfer date will be received by the transferee in the normal course of conducting the transferred business.
