pursuant to regulation 5 of part II of table A to the Companies Act as applied to the company by Article 1 of the Company's Articles of Association, the following resolutions were duly passed: As a special resolution— "That the company be wound-up voluntarily". As an ordinary resolution — "That Kieran Day and Kereto Marima of the Business Advisory Group Limited, be and are appointed as liquidators for the purposes of such winding-up with power to act jointly and severally".
