ESTABLISHMENT

PURSUANT to the provisions of section 30 (1) of the Competition Act, Cap 504 of the laws of Kenya (the Competition Act), it is notified for general information that in exercise of the powers conferred upon the Competition Authority of Kenya by section 26 of 24th January, 2025 THE KENYA GAZETTE the Competition Act, the Competition Authority of Kenya has granted an exemption with respect to the following clauses of the proposed non-equity Strategic Business Partnership (“the Agreement”) between National Oil Corporation of Kenya Limited (NOC) and Rubis Energy Kenya Limited (Rubis), for a period of five (5) years: (i) Clauses 3.2, 3.2.1, 3.2.2 on Structure of the non-equity Strategic Partnership; (ii) Clauses 8.2, 8.9, 8.10, 8.12 on Rubis’ Roles and Responsibilities; (iii) Clauses 10, 10.1, 10.5.1, 10.6.1 and 10.7 on Establishment of a Joint Implementation Committee; (iv) Clauses 13.5.3 and 13.6 on Deployment of the ERP System; (v) Clauses 15.1, 15.2, 15.4.7 and 15.4.8 on Business Growth, Development and Marketing Support; (vi) Clauses 16.1, 16.3, 16.4, 16.5, 16.6 and 16.9 on Management Support, Capacity Building and Development; (vii) Clauses 17.1, 17.4.2 and 17.4.3 on Fuel Card; (viii) Clauses 19.1.2, 19.2.1 and 19.1.4 on NOC Brand; and (ix) Clause 23.1 on Information Rights.
