GAZETTE NOTICE NO. 1125

NOTICE is given under the Transfer of Businesses Act (Chapter 500, Laws of Kenya) that the webhosting business carried on by Kenya Website Experts Limited (Company Number CPR/2012/66973) (“Transferor”) at 4th Floor, International House, Land Reference Number 209/6871, Mama Ngina Street, Nairobi, Post Office Box Number 12198–00400, Nairobi, will, subject to the fulfilment of certain conditions precedent, be transferred to KWE Holding Limited (Company Number PVT-GYU5BQKV) (“Transferee”) pursuant to the terms of a business and asset transfer agreement entered into between the Transferor and Transferee on 26th November, 2024 (the “Agreement”). In the event that the conditions precedent to the Agreement are fulfilled, the Transferee intends to acquire the assets. All money debts or liabilities due and owing by the Transferor in respect of the web hosting and domain name registration business up to the date of transfer as set out above shall be received and paid by the Transferor. Save as specifically provided in the Agreement, the Transferee will not assume nor is it intended to assume any liabilities incurred by the Transferor in the business up to the date of transfer. If the Agreement is not completed, this notice shall be void ab initio and shall be of no effect. The address of the Transferor is P.O.
