NOTICE is given under the Transfer of Business Act (Chapter 500, Laws of Kenya) that the business of producing and processing of breakfast cereals and extruded snacks carried on by Groupaco Holdings Limited (Company Number CPR/2016/221405) (“Transferor”) at Land Reference Number Block/3/1431, Mavoko Town, Machakos, Post Office Box Number 2942 Village Market, Nairobi, will subject to the fulfillment of certain conditions precedent, be transferred to Bidco Africa Limited (Company Number C.36096) (“Transferee”) pursuant to the terms of a business and asset transfer agreement entered into between the Transferor and Transferee on 19th February, 2025 (the “Agreement”). In the event that the conditions precedent to the Agreement are fulfilled, the Transferee intends to acquire all assets particularly listed in the asset purchase agreement entered into by the Transferor and Transferee. All book debts, cash, business contracts, creditors, liabilities, tax; and any other assets not comprising the sale assets due and owing by the Transferor in respect of the business of producing and processing of breakfast cereals and extruded snacks up to the date of the transfer as set out above, shall be received and paid by the Transferor. Save as specifically provided in the agreement, the Transferee will not assume nor is intended to assume any liabilities incurred by the Transferor in the business up to the date of the transfer. If the Agreement is not completed this notice shall be void ab initio and shall be of no effect. The address of the Transferor is P.O.
